1. Introduction and Acceptance

Welcome to TrackLit. TrackLit is a web-based business management platform operated by Tracklit, [registration number, if any], with its address at [Registered address], Nigeria ("TrackLit", "we", "us" or "our").

These Terms & Conditions ("Terms") govern your access to and use of the TrackLit website at tracklit.com.ng, the TrackLit web application (including the version you add to your phone or computer home screen), the online storefront and marketplace features, and all related services (together, the "Platform").

By creating an account, signing in, or using the Platform, you confirm that you have read, understood and agreed to these Terms and to our Privacy Policy. If you do not agree, do not create an account or use the Platform.

To create an account you must:

  • be at least 18 years old (or the age of majority where you live) and have the legal capacity to enter into a binding contract;
  • provide accurate, current and complete registration information; and
  • use the Platform only for lawful business purposes.

If you register on behalf of a company or business, you confirm that you have authority to bind that business to these Terms.

4. Creating and Securing Your Account

4.1 You register using your email address and a password. You are responsible for keeping your login details confidential and for all activity that happens under your account.

4.2 Do not share your password. Use a strong, unique password and tell us immediately at [support email] or through our WhatsApp support if you suspect unauthorised access.

4.3 One person should not create multiple accounts to avoid limits, suspension or fees.

4.4 We may require you to verify your email address or identity before activating certain features.

4.5 We are not liable for loss or damage caused by your failure to keep your login details secure.

5. The Services

TrackLit provides tools to help business owners run their shops, including:

  • recording sales (cash, bank transfer, POS or credit) and creating invoices;
  • recording part-payments and tracking customer balances and debts;
  • tracking inventory, including IMEI and serial numbers, with import and export options;
  • recording expenses and viewing reports on profit, cashflow and sales;
  • generating and sharing branded receipts as PDF or image;
  • managing suppliers and supplier goods ledgers;
  • inviting Staff Members with role-based access;
  • managing more than one Business under one login (depending on your Plan);
  • creating an online Storefront, receiving and fulfilling orders; and
  • sending payment reminders, including through links that open WhatsApp.

We may add, change, suspend or remove features at any time. We will try to give reasonable notice of changes that significantly reduce functionality you rely on.

6. Plans, Fees and Payment

6.1 Free Starter plan. TrackLit currently offers a free Starter plan with the limits shown on our pricing section.

6.2 Paid plans. We display planned paid Plans (such as Shop Pro and Multi-Store) and their prices in Naira. At the time of these Terms, paid billing may not yet be live. When we launch paid billing, we will give you reasonable advance notice by email or in the Platform, and we will show the final price, billing cycle and features before you are charged. Existing accounts will not be charged without your agreement to a paid Plan.

6.3 Billing. Once paid subscriptions are active: fees are billed in advance, monthly or yearly depending on your choice; you authorise us and our payment processors to charge your chosen payment method; and you are responsible for any taxes, bank charges or levies that apply.

6.4 Changes to pricing. We may change prices or Plan features. Changes apply from your next billing period, and we will notify you beforehand.

6.5 Cancellation. You may cancel a paid Plan at any time from your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. Unless required by law or stated otherwise at purchase, fees already paid are non-refundable.

6.6 Downgrades and non-payment. If a paid Plan lapses, we may move your account to the free Starter plan or restrict features that exceed its limits (for example, number of Businesses or Staff Members). We will not delete your Business Data solely because a payment failed without first giving you notice and a chance to export it.

7. Staff Accounts and Roles

7.1 Business Owners may invite Staff Members and assign roles. The Business Owner controls what each role can access and is responsible for all actions taken by their Staff Members.

7.2 You must make sure Staff Members are informed about, and agree to follow, these Terms and any internal rules you set.

7.3 You are responsible for removing access for former employees or anyone who should no longer use your Business account.

7.4 Recording staff details (such as who recorded a sale) is part of how the Platform works. You are responsible for informing your staff that this information is recorded.

8. Your Business Data

8.1 Ownership. You own your Business Data. We do not claim ownership of it.

8.2 Licence to us. You give us a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, display, back up and transmit your Business Data solely to provide, secure, maintain and improve the Platform and to comply with law.

8.3 Your responsibility. You are solely responsible for the accuracy, legality and quality of your Business Data and for having the right to upload it, including the right to use logos, product images, names and the personal data of your customers, staff and suppliers.

8.4 Customer and third-party data. For personal data of your own customers, suppliers and staff that you put into TrackLit, you are generally the "data controller" and TrackLit acts as your "data processor" (see Privacy). You must have a lawful basis to collect that data and must comply with the Nigeria Data Protection Act 2023 and other applicable laws.

8.5 Backups and exports. We take reasonable steps to protect and back up the Platform, but you are encouraged to regularly export and keep your own copy of important records.

9. Online Storefront, Marketplace and Orders

9.1 Your listings. If you use the Storefront or Marketplace, you are responsible for the accuracy of your product descriptions, prices, stock availability, images, delivery information and policies.

9.2 Contract with Buyers. Any sale made through a Storefront or the Marketplace is a contract strictly between the Business and the Buyer. TrackLit is a technology provider and is not a party to those sales, and does not guarantee the quality, safety, legality or delivery of any item.

9.3 Prohibited items. You may not list or sell stolen goods, counterfeit or fake products, items obtained through fraud, illegal or restricted goods, or phones or devices you know or suspect to be stolen, blocked or locked. You must comply with all laws on consumer protection, product sale and taxation.

9.4 IMEI and serial number records. IMEI and serial number tracking is provided to help you keep accurate records. You are responsible for verifying the legal status and origin of every device you stock and sell. TrackLit does not verify that a device is genuine, unblocked or lawfully obtained.

9.5 Buyer data. When a Buyer places an order, their details (such as name, phone number, delivery address and order information) are shared with the relevant Business so it can fulfil the order. Businesses must use this data only to process orders, provide support and meet legal duties, and must protect it.

9.6 Payments and delivery. Unless we expressly state that we process payments for orders, payment and delivery arrangements are made directly between Business and Buyer. TrackLit is not responsible for payment disputes, failed deliveries, refunds or returns.

9.7 Removal. We may remove or hide any listing, Storefront or Marketplace content that breaches these Terms, is reported as unlawful, or poses risk to others.

10. Receipts, Invoices, Reminders and Communications

10.1 Receipts, invoices and reports generated by TrackLit are produced from the information you enter. You are responsible for checking that they are correct and that they meet applicable tax, VAT and accounting requirements. TrackLit is bookkeeping software and does not provide tax, legal or accounting advice.

10.2 Features that open WhatsApp or other messaging apps with pre-filled messages (such as payment reminders) send messages from your own account and device. You are responsible for the content and for having the right to contact the customer. Do not use these features to harass, threaten or spam anyone.

10.3 We may send you service messages (account, security, billing and product updates) by email or in-app. You can opt out of marketing messages at any time, but we may still send essential service messages.

11. Acceptable Use

You agree that you will not:

  • break any law or regulation, or use the Platform for fraud, money laundering, tax evasion or any other criminal activity;
  • upload false, misleading, defamatory, obscene, hateful or infringing content;
  • infringe anyone's intellectual property, privacy or other rights;
  • access, copy or use another User's account or data without permission;
  • try to hack, probe, disrupt, overload, reverse engineer, scrape or interfere with the Platform or its security;
  • upload malware, harmful code or automated bots;
  • resell, sublicense or provide the Platform to third parties as a competing service without our written permission;
  • impersonate any person or business; or
  • use the Platform to harass, threaten or defraud customers, staff or suppliers.

12. Intellectual Property

12.1 The Platform, including its software, design, text, graphics, logos, trademarks, features and look and feel, belongs to TrackLit or its licensors and is protected by intellectual property laws.

12.2 We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Platform for your lawful business purposes, subject to these Terms.

12.3 You keep ownership of your own logos, brand names and content. You give us permission to display them as needed to provide the Platform (for example, on your receipts and Storefront).

12.4 If you give us feedback or suggestions, we may use them without obligation or payment to you.

13. Availability, Internet Access and Updates

13.1 TrackLit is accessed through your browser and depends on your device, browser and internet connection. Some features may not work without internet access. You are responsible for your own connectivity, device and data costs.

13.2 We aim to keep the Platform available and secure but do not guarantee uninterrupted, error-free or always-available service. We may carry out maintenance or updates, sometimes without notice.

13.3 The Platform may include third-party services (such as hosting, email, messaging or payment providers). We are not responsible for outages or failures of third-party services.

14. Suspension and Termination

14.1 By you. You may stop using TrackLit and request deletion of your account at any time (see Part 2).

14.2 By us. We may suspend or terminate your account or access to some features, with or without notice, if you breach these Terms, we reasonably suspect fraud, abuse or illegal activity, we are required to do so by law or a court or regulator, or your use creates risk or harm to us, other Users or the Platform.

14.3 Effect. On termination your right to use the Platform stops. Where possible and lawful, we will give you a reasonable period to export your Business Data. We may keep certain records where the law requires or to resolve disputes, as explained in Part 2.

15. Disclaimers

15.1 The Platform is provided "as is" and "as available". To the fullest extent permitted by law, we do not give any warranties, express or implied, including those of merchantability, fitness for a particular purpose, accuracy and non-infringement.

15.2 We do not guarantee that reports, profit figures, balances or stock counts are error-free. They depend on the data you enter. You should independently verify important financial information.

15.3 Nothing in these Terms excludes any right or liability that cannot be excluded under Nigerian law, including consumer protection law.

16. Limitation of Liability

16.1 To the maximum extent permitted by law, TrackLit, its owners, directors, employees and partners will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill, data, business or opportunity, arising from your use of or inability to use the Platform.

16.2 Our total liability to you for any claim related to the Platform will not exceed the greater of (a) the total fees you paid to TrackLit in the 12 months before the event giving rise to the claim, or (b) ₦[amount, e.g. 50,000].

16.3 We are not liable for losses caused by your Staff Members, your customers, your suppliers, third-party services, events beyond our reasonable control (such as power failures, network outages, strikes, natural disasters or government action), or your failure to follow security practices.

17. Indemnity

You agree to defend, indemnify and hold harmless TrackLit and its owners, officers, employees and partners from any claims, losses, damages, fines and expenses (including reasonable legal fees) arising from your Business Data, your use of the Platform, your breach of these Terms or the law, your dealings with Buyers, customers or suppliers, or your infringement of any third-party right.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Platform and update the "Last updated" date. Your continued use of the Platform after the changes take effect means you accept the updated Terms. If you do not agree, you must stop using the Platform.

19. Governing Law and Dispute Resolution

19.1 These Terms are governed by the laws of the Federal Republic of Nigeria.

19.2 If a dispute arises, the parties will first try to resolve it informally by contacting [support email]. If it is not resolved within 30 days, the dispute may be referred to mediation or arbitration in [Lagos / your city], Nigeria, under the Arbitration and Mediation Act 2023, or, if either party prefers, to the courts of competent jurisdiction in Nigeria.

20. General

  • Entire agreement: these Terms and the Privacy Policy are the whole agreement between you and TrackLit about the Platform.
  • Severability: if any part is found unenforceable, the rest stays in force.
  • No waiver: failing to enforce a right is not a waiver of it.
  • Assignment: you may not transfer your rights under these Terms without our consent. We may assign ours as part of a merger, sale or reorganisation.
  • Notices: we may send notices to your registered email or display them in the Platform.
